1. Introduction

Welcome to YouShouldAsk, a website and SaaS platform designed to provide automated AI & data-driven chatbots, AI agents, and workflow automation as a customer support and engagement tool. These Terms of Service ("Terms") govern your use of our website located at www.youshouldask.ai ("Site") and our application and related services ("Service"), collectively referred to as the "Platform".

By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you do not have permission to access or use the Service.

2. Eligibility & Authority

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Use License

Subject to these Terms, YouShouldAsk grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your internal business purposes or personal use, as applicable to your subscription plan and the features you have purchased.

Except as expressly permitted, you may not: (i) copy, modify, or create derivative works of the Platform; (ii) reverse engineer, decompile, or attempt to discover source code or underlying models; (iii) resell, rent, lease, sublicense, or provide the Platform to third parties as a service bureau; or (iv) use the Platform in a manner that competes with YouShouldAsk.

4. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding your credentials, API keys, tokens, and access to connected systems. You must notify us immediately of any suspected unauthorized use or security incident.

You are responsible for all activities that occur under your account, including usage by your employees, contractors, and authorized users.

5. Prohibited Uses & Acceptable Use Policy

You agree not to use (or allow others to use) the Platform:

  • In any way that violates any applicable national or international law or regulation.
  • To exploit, harm, or attempt to exploit or harm minors, including exposing them to inappropriate content.
  • To transmit, procure the sending of, or facilitate any advertising or promotional material including “junk mail,” “chain letter,” “spam,” or similar solicitation.
  • To impersonate or attempt to impersonate YouShouldAsk, a YouShouldAsk employee, another user, or any person or entity.
  • To generate, distribute, or facilitate unlawful, harmful, harassing, hateful, discriminatory, defamatory, or violent content.
  • To generate or spread misinformation, fraud, phishing, social engineering, or deceptive practices.
  • To create or deploy systems intended to manipulate, coerce, or unduly influence individuals (including through dark patterns).
  • To perform vulnerability scanning, penetration testing, load testing, or any activity that may disrupt or degrade Platform stability without prior written permission.
  • To reverse engineer, extract, scrape, or attempt to obtain prompts, model weights, training data, system instructions, security measures, or proprietary logic.
  • To bypass rate limits, access controls, or usage restrictions, or to attempt unauthorized access to any systems or networks.
  • To generate deepfakes or impersonations without lawful basis and explicit consent of the individuals involved.
  • For high-risk decision-making or regulated use cases (such as medical diagnosis, legal determinations, credit scoring, or hiring decisions) unless explicitly agreed in writing and appropriately validated.

We may suspend, limit, or terminate access to the Platform for suspected abuse, misuse, or security risk, at our sole discretion.

6. AI-Generated Content Disclaimer

The Platform uses artificial intelligence and machine learning technology to generate outputs. You acknowledge and agree:

  • AI-generated responses may be inaccurate, incomplete, misleading, or inappropriate in certain contexts.
  • You are solely responsible for reviewing and validating output before using it in business-critical, legal, medical, or financial contexts.
  • The Platform does not provide professional advice (legal, medical, financial, or otherwise).
  • Output quality may vary depending on inputs, configuration, and data sources.

You are responsible for how you deploy AI responses toward end-users, including any automated actions triggered by workflows or integrations.

7. Customer Responsibility for End-Users

If you use the Platform to interact with your customers or end-users, you are responsible for:

  • Ensuring you have all required rights and legal bases to process end-user data.
  • Providing any legally required notices and disclosures, including transparency that users may be interacting with an AI system.
  • Configuring your assistant/agent, workflows, and knowledge sources responsibly.
  • Handling support requests, disputes, refunds, and complaints arising from your business activities and customer interactions.

8. Customer Data, Processing & Privacy

You retain ownership of all data, text, files, content, and information that you upload, transmit, or otherwise make available through the Platform ("Customer Data").

You grant YouShouldAsk a limited license to host, store, process, and transmit Customer Data solely as necessary to provide, secure, maintain, and improve the Platform (including troubleshooting, abuse prevention, and quality assurance).

To generate responses, limited portions of Customer Data may be processed temporarily by AI systems. Unless explicitly agreed otherwise in writing, Customer Data is not used to train public foundation models. We do not sell Customer Data.

Where required by law or contract (e.g., GDPR), additional terms may apply via a Data Processing Agreement (DPA) and/or Privacy Policy.

9. Third-Party Integrations

The Platform may support integrations with third-party services (e.g., CRM, e-commerce platforms, messaging/telephony providers, analytics tools, or AI infrastructure providers). Your use of such third-party services is subject to their terms and privacy policies.

You are responsible for maintaining valid credentials and permissions for connected systems. YouShouldAsk is not liable for outages, errors, security incidents, or data loss caused by third parties.

10. Intellectual Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of YouShouldAsk and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of YouShouldAsk.

11. Fees, Billing & Subscriptions

Certain features of the Platform may require payment of fees. Subscription plans may renew automatically unless cancelled. Usage-based fees (e.g., AI tokens, API calls, voice minutes) may apply depending on your plan.

Fees are non-refundable except where required by law or explicitly agreed in writing. If payment is overdue, we may suspend or restrict access to the Platform.

12. Service Availability

The Platform is provided on an “as available” and “as is” basis. We do not guarantee uninterrupted or error-free operation, zero downtime, or that AI outputs will meet your expectations. We may perform maintenance, updates, or emergency changes that may temporarily impact availability.

13. Security

We implement commercially reasonable administrative, technical, and organizational measures to protect the Platform. However, no security measures are perfect. You are responsible for keeping your credentials secure and ensuring your systems and environments are appropriately protected.

14. Suspension, Monitoring & Enforcement

We may monitor usage patterns to detect abuse, fraud, or security incidents. We reserve the right to rate-limit, suspend, or terminate accounts to protect the Platform, other customers, or the public. We may remove or disable access to content that violates these Terms.

15. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Upon termination, your right to use the Platform ceases immediately. Certain sections (including Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and Governing Law) shall survive termination.

16. Indemnification

You agree to indemnify, defend, and hold harmless YouShouldAsk, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (i) your use or misuse of the Platform; (ii) Customer Data and content you deploy; (iii) your interactions with end-users; (iv) violation of these Terms; or (v) violation of any law or third-party right.

17. Limitation of Liability

In no event shall YouShouldAsk, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Platform; (ii) any conduct or content of any third party on the Platform; (iii) any content obtained from the Platform; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

To the maximum extent permitted by law, the total aggregate liability of YouShouldAsk for any claim arising out of or relating to the Platform shall not exceed the total amount paid by you to YouShouldAsk in the twelve (12) months immediately preceding the event giving rise to the claim.

18. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

19. Export Control & Sanctions

You agree not to use the Platform in violation of applicable export control laws, sanctions regulations, or anti-terrorism laws. You represent that you are not located in, under the control of, or a national or resident of any country subject to embargo or sanctions where such use would be prohibited.

20. Beta Features

We may offer beta or experimental features. Such features may be unstable, may change without notice, and are provided without warranty or guarantees. You use beta features at your own risk.

21. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

22. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law provisions. Disputes shall be subject to the exclusive jurisdiction of the competent courts in The Netherlands.
